MEIBAOGE Inc.   Conditions of Sale

These Conditions of Sale (“Terms”) apply to all auctions conducted by MEIBAOGE Inc. (“MEIBAOGE”, “the Company”, “we”, or “us”). Any individual or entity (“Bidder” or “Buyer”) participating in auctions through our website, in-person auction events, or any other bidding platform agrees that they have read, understood, and accepted these Terms.

These Terms shall be governed by the laws of the State of New York, United States.

1. Bidder Registration

All bidders must complete registration before participating in any auction.

Registration information includes but is not limited to:

- Full legal name or company name

- Mailing address

- Phone number

- Email address

- Valid government-issued identification

MEIBAOGE Inc. reserves the right, at its sole discretion, to approve or reject any bidder registration.

2. Bidding and Sale

All bids are legally binding.

When the auctioneer announces the sale of a lot, the highest accepted bid shall be considered the Hammer Price.

Once the auctioneer declares a lot sold, a legally binding contract is formed between the bidder and MEIBAOGE Inc.

The auctioneer has the authority to:

- Accept or reject any bid

- Resolve bidding disputes

- Reopen bidding when necessary

- Withdraw any lot prior to sale

All decisions made by the auctioneer are final.

3. Buyer’s Premium

A Buyer’s Premium will be charged on all successful bids.

The Buyer’s Premium is calculated using a tiered structure based on the total hammer price of all lots purchased by the same buyer in a single auction

4. Sales Tax

All applicable purchases are subject to sales tax.

The current applicable tax rate is 8.875%.

Sales tax will be calculated based on the total invoice amount, including:

- Hammer Price

- Buyer’s Premium

5. Payment Terms

Full payment must be completed within two weeks after the auction.

Accepted payment methods include:

- Bank wire transfer

- Credit card or debit card

- Cash (where legally permitted)

6. Shipping and Pickup

Shipping

Shipping arrangements will be determined through mutual agreement between the buyer and MEIBAOGE Inc.

Shipping costs are not included in the purchase price and are the responsibility of the buyer.

Pickup and Storage Policy

All purchased lots must be picked up by the buyer or shipped through MEIBAOGE Inc. within 30 days after payment has been completed.

If the buyer requests shipping, the buyer must pay the applicable shipping and handling fees in advance. Once MEIBAOGE Inc. receives the shipping payment, the Company will arrange shipment of the purchased lots.

If the buyer fails to collect the purchased lots or pay the shipping fees within 30 days, a storage fee of $10 per day will be charged.

If the buyer fails to collect the lots or pay the shipping fees within 90 days, the buyer will be deemed to have abandoned the property and voluntarily relinquished all rights, title, and interest in the purchased lots. In such case, MEIBAOGE Inc. reserves the right to dispose of the property at its sole discretion, and all payments previously made will be forfeited and will not be refunded.

7. Seller’s Commission

Consignors shall pay a seller’s commission to MEIBAOGE Inc.

The seller’s commission ranges between 10% – 15% according to the consignment agreement.

8. Bid Increments

$0 – $500 → $25

$500 – $1,000 → $50

$1,000 – $2,000 → $100

$2,000 – $5,000 → $200

$5,000 – $10,000 → $500

$10,000 – $100,000 → $1,000

$100,000 – $1,000,000 → $10,000

$1,000,000 – $10,000,000 → $100,000

9. Condition of Lots

All lots are sold “AS IS”.

MEIBAOGE Inc. makes no warranties regarding authenticity, attribution, provenance, or condition.

10. Final Sale

All auction sales are final. No returns, refunds, or exchanges will be accepted.

11. Limitation of Liability

MEIBAOGE Inc. shall not be liable for damages arising from description errors, online bidding failures, shipping delays, or third‑party service issues.

12. Withdrawal of Lots

MEIBAOGE Inc. reserves the right to withdraw any lot from auction before or during the auction without liability.

13. Buyback Right

For any lot marked with a star, the Buyer shall have the right to request a value-preserving buyback after one (1) year from the date full payment of the lot has been made. The buyback price shall be no less than 130% of the hammer price.

The buyback request may be made within the period commencing twelve (12) months and ending sixteen (16) months from the date of full payment.

For example, if the Buyer completes full payment on December 1, 2016, the buyback request may be initiated between December 1, 2017 and April 1, 2018.

14. Governing Law

These Terms shall be governed by the laws of the State of New York, United States.

15. Entire Agreement

These Terms constitute the entire agreement between MEIBAOGE Inc. and the bidder.

本拍卖条款与条件（以下简称“本条款”）适用于 MEIBAOGE Inc.（以下简称“美宝阁”或“公司”） 举办的所有拍卖活动。任何个人或机构（以下简称“竞买人”或“买家”）在本公司网站、线下拍卖会或其他方式参与竞拍，即表示已阅读、理解并同意接受本条款的全部内容。

本条款受 美国纽约州法律 管辖。

一、竞买人注册

所有竞买人必须在参与拍卖前完成注册。

注册信息包括但不限于：

• 真实姓名或公司名称

• 联系地址

• 联系电话

• 电子邮箱

• 政府签发的有效身份证件

美宝阁保留自行决定是否批准竞买人注册的权利。

二、竞价与成交

1. 所有竞价均具有法律约束力。

2. 拍卖师宣布成交时，最高出价即为 落槌价（Hammer Price）。

3. 一旦拍卖师宣布成交，即形成具有法律效力的买卖合同。

拍卖师拥有以下权力：

• 接受或拒绝任何出价

• 解决竞价争议

• 在必要时重新竞价

• 在拍卖前撤回任何拍品

拍卖师的决定为 最终决定。

三、买家佣金（Buyer’s Premium）

所有成功竞得的拍品均需支付 买家佣金。

买家佣金采用 梯度计算方式，并按照 同一买家在同一场拍卖中所有拍品落槌价总额 计算。

买家佣金将在拍卖结束后根据竞买人本场拍卖 所有成交拍品总落槌价 按上述梯度进行计算。

四、销售税（Sales Tax）

所有适用交易均需缴纳销售税。

当前适用税率为：

8.875%

销售税将按照以下金额计算：

• 落槌价

• 买家佣金

如买家符合免税条件，需在付款前提供有效的免税证明或转售证书。

五、付款条款

拍卖结束后，买家须在两周内完成全额付款。

可接受的付款方式包括：

• 银行电汇

• 信用卡或借记卡

• 现金（在法律允许范围内）

在付款全部到账前，美宝阁有权保留拍品。

若买家未在规定期限内付款，公司有权：

• 取消成交

• 重新拍卖该拍品

• 向买家追究相关损失及费用。

六、运输与提货

运输

拍品运输方式将根据 买家与美宝阁协商确定。

运输费用：

• 不包含在拍卖成交价中

• 根据拍品尺寸、重量、运输方式及目的地实际计算

• 由买家承担

拍品离开美宝阁或其指定物流公司后，相关风险即由买家承担。

提货及仓储规则

所有拍品在完成付款后 30天内必须由买家自行提取或委托本公司安排邮寄。

如买家选择邮寄，需提前支付相应的 邮寄及包装费用。本公司在收到买方支付的邮寄费用后，将安排拍品寄出。

若买家在 30天内未提取拍品且未支付邮寄费用，本公司将按 每天10美元（$10/天） 收取仓储费用。

若拍品在 90天内仍未提取且未支付邮寄费用，则视为买家 自动放弃对该拍品的所有权及处置权。买家同意由本公司自行处理该拍品，且 所有已支付款项不予退还。

七、卖家佣金

委托人将按照委托协议向美宝阁支付卖家佣金。

卖家佣金范围为：

10% – 15%

具体比例由双方在委托拍卖协议中约定。

八、竞价加价规则（Bid Increments）

竞价加价幅度如下：

拍卖师在必要时可调整加价幅度。

九、拍品状况

所有拍品均以 “现状”（AS IS） 出售。

美宝阁不对拍品作任何形式的保证，包括但不限于：

• 真伪

• 年代

• 作者归属

• 来源

• 状况

拍卖图录中的文字描述和图片仅供参考，不构成保证。

竞买人应在竞拍前自行审阅拍品信息并进行必要的检查。

十、成交不可撤销

所有拍卖成交均为 最终成交。

拍品 不接受退货、退款或换货。

十一、责任限制

在法律允许的最大范围内，美宝阁对以下情况不承担责任：

• 拍品描述误差

• 在线竞拍技术故障

• 运输过程中的延误或损坏

• 第三方服务问题

在任何情况下，美宝阁承担的最高赔偿金额 不超过相关拍品买家佣金金额。

十二、撤拍权

美宝阁保留在拍卖开始前或拍卖过程中 撤回任何拍品 的权利，且无需承担责任。

十三、回购权

凡是本拍行星标拍品，买家在付清拍品尾款满一年后，可申请保值回购。回购价格按拍品落槌价的130%执行，且为最低回购价。回购申请期限为自尾款支付日起第12个月至第16个月之间。

例如，若买家于2016年12月1日支付拍品尾款，则其可于2017年12月1日至2018年4月1日期间发起回购申请。

十四、适用法律

本条款受 美国纽约州法律 管辖并据其解释。

因本拍卖产生的任何争议均应提交 纽约州具有管辖权的法院 解决。

十五、完整协议

本条款构成美宝阁与竞买人之间关于拍卖活动的完整协议。
